Please read these terms carefully before using BeatOps

1. Agreement to Terms

By accessing or using BeatOps ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

You must be at least 13 years old to use the Service. If you are under 18, you must have your parent's or legal guardian's permission to use the Service. If you are using the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

BeatOps is a software-as-a-service (SaaS) platform that provides beat upload automation for music producers. The Service includes:

  • Beat library management and organization
  • Automatic metadata extraction and audio analysis
  • Thumbnail and video generation
  • Template management for consistent uploads
  • Integration with YouTube for automated video uploads
  • Integration with BeatStars for beat distribution
  • Scheduling and batch processing capabilities

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 One Account Per User

Each user may only maintain one active account. Creating multiple accounts to circumvent limitations or abuse the Service is prohibited.

4. Subscription and Payments

4.1 Subscription Plans

BeatOps offers subscription-based access to the Service. Details of available plans, features, and pricing are available on our website. Prices are subject to change with reasonable notice.

4.2 Billing

By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your plan). You are responsible for keeping your payment information current.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

4.4 Refunds

We offer a 10-day no-questions-asked refund policy for new subscriptions. For full details, please see our Refund Policy. After the 10-day period, refunds may be considered on a case-by-case basis.

4.5 Price Changes

We reserve the right to modify our pricing. Any price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle. Existing subscribers are grandfathered at their current rate unless they cancel and resubscribe.

4.6 Early Adopter Pricing

Users who subscribe during our early adopter period receive a discounted rate that is locked in for the lifetime of their continuous subscription. This pricing remains in effect as long as you maintain an active subscription without interruption.

4.7 License Keys

Upon subscription, you will receive a license key to activate your subscription in the BeatOps application. License keys are:

  • For personal use only
  • Not transferable to other users
  • Tied to your subscription and email address
  • Valid only while your subscription is active

5. User Content

5.1 Ownership

You retain all ownership rights to your content, including your beats, audio files, images, and metadata. BeatOps does not claim ownership of any user content.

5.2 License to BeatOps

By using the Service, you grant BeatOps a limited, non-exclusive license to process, transform, and transmit your content solely for the purpose of providing the Service. This includes:

  • Generating thumbnails and videos from your content
  • Analyzing audio files to extract metadata
  • Uploading content to third-party platforms on your behalf
  • Storing temporary files necessary for processing

5.3 Content Responsibility

You are solely responsible for your content. You represent and warrant that:

  • You own or have the necessary rights to use and distribute your content
  • Your content does not infringe any third-party intellectual property rights
  • Your content complies with all applicable laws and regulations
  • If your beats contain samples from other recordings, you have obtained:
    • Master use license from the owner of the original sound recording
    • Mechanical license from the owner of the underlying musical composition (publishing rights)
  • You understand that using uncleared samples may result in copyright claims, takedowns, or legal action

5.4 Content Storage

Your audio files are stored locally on your device. BeatOps does not maintain copies of your original audio files on our servers. Generated content (thumbnails, videos) may be temporarily cached for processing purposes.

5.5 Performance Rights Organizations (PROs)

If you are a member of a performance rights organization (such as ASCAP, BMI, SESAC, or their international equivalents), you are solely responsible for:

  • Registering your works with your PRO
  • Ensuring your PRO membership does not conflict with your use of BeatOps
  • Informing your PRO of any royalty-free licenses you grant for your beats
  • Complying with your PRO's reporting and documentation requirements

BeatOps does not collect, track, or report performance royalties on your behalf. You retain full ownership of your publishing rights and are responsible for managing your PRO relationships.

6. Third-Party Platforms

BeatOps integrates with third-party platforms to upload and distribute your content. When using these integrations, you are solely responsible for complying with each platform's terms of service and community guidelines:

  • YouTube Terms of Service
  • BeatStars Terms of Service
  • SoundCloud Terms of Use

BeatOps is not responsible for any actions taken by these platforms regarding your content or account, including but not limited to content removal, account suspension, or monetization changes. Platform terms may change at any time; you are responsible for staying informed of such changes.

7. YouTube API Services - Additional Terms

BeatOps uses YouTube API Services to enable video uploads to your YouTube channel. By connecting your YouTube account to BeatOps:

  • You authorize BeatOps to access your YouTube channel and upload videos on your behalf
  • You agree to the YouTube Terms of Service
  • You acknowledge the Google Privacy Policy
  • You may revoke access at any time via Google Security Settings

7.1 YouTube Data Handling

When you disconnect your YouTube account from BeatOps, your stored YouTube authorization data is deleted immediately. If you revoke access via Google Security Settings, your data is also deleted immediately upon detection. For full details, see our Privacy Policy.

7.2 Content ID Claims

Content ID Warning: Videos uploaded to YouTube through BeatOps may receive Content ID claims if the audio contains samples, loops, or sounds that are registered in YouTube's Content ID database by other rights holders.

You acknowledge and agree that:

  • Content ID claims on your videos are your sole responsibility to resolve
  • BeatOps has no control over YouTube's Content ID system or claim decisions
  • You should not upload beats containing uncleared samples to YouTube
  • Even royalty-free samples may trigger false claims that you must dispute directly with claimants

8. Prohibited Uses

You agree not to use the Service to:

  • Upload, distribute, or promote content that you do not have rights to
  • Infringe upon the intellectual property rights of others
  • Upload illegal, harmful, threatening, abusive, or otherwise objectionable content
  • Spam platforms with duplicate or low-quality content
  • Circumvent any limitations or restrictions of the Service
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Use automated scripts or bots beyond the Service's intended functionality
  • Interfere with or disrupt the Service or servers connected to the Service
  • Resell or redistribute access to the Service without authorization

9. Intellectual Property

9.1 BeatOps Ownership

The Service, including its original content, features, and functionality, is owned by BeatOps and is protected by copyright, trademark, and other intellectual property laws. The BeatOps name, logo, and all related names, logos, and slogans are trademarks of BeatOps.

9.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, perpetual, irrevocable license to use such feedback for any purpose without compensation to you.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Results from using the Service will be accurate or reliable
  • The quality of the Service will meet your expectations
  • Third-party platform integrations will remain available

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEATOPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

We are not liable for any issues arising from third-party platforms, including YouTube, BeatStars, or SoundCloud, such as account suspensions, content removal, or platform outages.

12. Indemnification

You agree to indemnify, defend, and hold harmless BeatOps and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your content or any content uploaded through your account
  • Your violation of these Terms
  • Your violation of any rights of a third party

13. Termination

13.1 Termination by You

You may cancel your subscription and stop using the Service at any time. Cancellation will take effect at the end of your current billing period.

13.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

13.3 Effect of Termination

Upon termination, we may delete your account data after a reasonable grace period. You are responsible for exporting any data you wish to retain before termination.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of the Netherlands.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BeatOps regarding the Service and supersede all prior agreements and understandings.
